    TERMS OF SERVICE

    These Terms of Service ("Terms") govern access to and use of ExcursionAssess AI (the "Service"), operated by:

    Medicalix Ltd.
    6 Hashfels St., Kochav Yair 4486400, Israel
    ("Medicalix", "Company", "we", "us", "our").

    By accessing or using the Service, you agree to these Terms.

    If you do not agree, you must not use the Service.

    1. NATURE OF THE SERVICE

    ExcursionAssess AI is a cloud-based software platform designed to support temperature excursion documentation and scientific analysis within pharmaceutical supply chains.

    The Service provides:

    • Excursion logging
    • Stability data integration
    • Mean Kinetic Temperature (MKT) calculations
    • AI-assisted analytical outputs
    • Structured report generation

    The Service is a decision-support tool only.

    It does not:

    • Make regulatory determinations
    • Authorize product release
    • Replace Qualified Person (QP) review
    • Provide legal or regulatory advice

    All final product disposition decisions remain solely the responsibility of the Customer.

    2. ACCOUNT REGISTRATION

    To use the Service, you must:

    • Provide accurate information
    • Maintain credential confidentiality
    • Use the Service in compliance with applicable laws
    • Ensure authorized professional use

    You are responsible for all activity under your account.

    3. ACCEPTABLE USE

    You may not:

    • Reverse engineer or extract AI models
    • Misrepresent AI outputs as regulatory approvals
    • Upload unlawful or falsified data
    • Circumvent security controls
    • Use the Service to develop competing products

    Violation may result in suspension or termination.

    4. LICENSE GRANT

    Medicalix grants a limited, non-exclusive, non-transferable, revocable license to access and use the Service during an active subscription.

    All intellectual property remains owned by Medicalix.

    5. PAYMENTS AND MERCHANT OF RECORD

    All payments are processed by FastSpring, which acts as Merchant of Record and authorized reseller.

    When purchasing the Service:

    • You enter into a payment agreement with FastSpring.
    • You enter into a license agreement with Medicalix.

    FastSpring is responsible for:

    • Billing
    • Tax calculation
    • Invoicing
    • Payment processing
    • Refund handling under applicable law

    FastSpring's Buyer Terms and Conditions govern the checkout process and are incorporated by reference into these Terms.

    In the event of conflict regarding payment matters, FastSpring's Buyer Terms prevail.

    6. REFUNDS AND RIGHT OF WITHDRAWAL

    6.1 14-Day Refund Policy

    You may cancel your subscription within fourteen (14) days of purchase for a full refund of subscription fees. Cancellation within this period takes effect immediately, and the refund is processed automatically by FastSpring, acting as Merchant of Record.

    Purchased AI Assessment Credits are non-refundable and are forfeited immediately upon cancellation or termination, regardless of whether they have been used.

    Following cancellation, your data will be retained for thirty (30) days, during which you may resubscribe to regain access. After this retention period, data may be permanently deleted in accordance with our Privacy Policy.

    6.2 Digital Content Acknowledgment

    ExcursionAssess AI is a digital service made available immediately upon purchase.

    By completing your purchase and accessing the Service, you expressly acknowledge and agree that:

    • Performance of the digital service begins immediately; and
    • Where permitted by law, your statutory right of withdrawal may be lost once performance begins.

    This does not affect any mandatory rights under applicable consumer law.

    6.3 Business Customers

    If you purchase the Service as a business entity:

    • Subscription fees are billed in advance.
    • Cancellation prevents renewal but does not retroactively refund the current billing period.
    • Refunds, if any, are handled in accordance with FastSpring's Buyer Terms.

    Nothing in these Terms limits any mandatory refund rights under applicable law.

    7. SUBSCRIPTIONS AND RENEWAL

    Subscriptions renew automatically unless cancelled through FastSpring prior to the renewal date.

    Cancellation:

    • Stops future billing
    • Does not refund current billing periods
    • Does not extend subscription beyond paid term

    AI Assessment Credits:

    • Are prepaid usage rights
    • Expire 24 months after purchase
    • Require active subscription
    • Have no cash value
    • Are non-transferable

    Unused credits are forfeited upon termination.

    8. AI OUTPUT DISCLAIMER

    The Service includes AI-generated outputs.

    You acknowledge:

    • AI outputs are probabilistic
    • AI results may contain inaccuracies
    • AI recommendations require independent professional review

    Medicalix disclaims liability for reliance on AI outputs without human validation.

    9. REGULATORY RESPONSIBILITY

    Medicalix does not warrant that:

    • The Service ensures regulatory compliance
    • Reports will be accepted by regulators
    • The system satisfies 21 CFR Part 11 or EU Annex 11 unless separately contracted

    Validation within Customer's quality system remains Customer's responsibility.

    10. DATA AND PRIVACY

    Use of the Service is subject to our Privacy Policy and Cookie Policy.

    Customer retains ownership of Customer Data.

    Medicalix may use anonymized, aggregated data for service improvement.

    11. DISCLAIMER OF WARRANTIES

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDICALIX DISCLAIMS ALL WARRANTIES, INCLUDING:

    • MERCHANTABILITY
    • FITNESS FOR A PARTICULAR PURPOSE
    • NON-INFRINGEMENT
    • ACCURACY OF AI OUTPUT
    • UNINTERRUPTED SERVICE

    12. LIMITATION OF LIABILITY

    TO THE MAXIMUM EXTENT PERMITTED BY LAW:

    MEDICALIX SHALL NOT BE LIABLE FOR:

    • INDIRECT OR CONSEQUENTIAL DAMAGES
    • PRODUCT RECALL COSTS
    • REGULATORY PENALTIES
    • LOSS OF PROFITS
    • BUSINESS INTERRUPTION

    TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

    This limitation does not exclude liability where prohibited by law.

    13. INDEMNIFICATION

    Customer shall indemnify Medicalix against claims arising from:

    • Regulatory non-compliance
    • Misuse of the Service
    • Incorrect data entry
    • Product release decisions

    14. TERMINATION

    Medicalix may suspend or terminate access if:

    • Terms are violated
    • Fraud or misuse is suspected
    • Legal or regulatory risk arises
    • Payment failure occurs

    Termination does not affect accrued payment obligations.

    15. GOVERNING LAW AND JURISDICTION

    This Agreement (excluding payment processing handled by FastSpring) is governed exclusively by the laws of the State of Israel.

    The competent courts of Tel Aviv, Israel shall have exclusive jurisdiction over disputes between Customer and Medicalix.

    Payment disputes are governed by FastSpring's Buyer Terms.

    16. CHANGES TO THESE TERMS

    We may update these Terms periodically.

    Continued use of the Service constitutes acceptance of updated Terms.
